These Terms of Service ("Terms") govern your access to and use of Water AI, wwater.ai, related applications, APIs, beta programs, and services (collectively, the "Services"). The Services are provided by Water AI, Inc., doing business as Water AI ("Water," "we," "us," or "our").

By creating an account, applying for beta access, accessing or using the Services, or otherwise indicating acceptance, you agree to these Terms. If you do not agree, do not use the Services.

1. Who May Use the Services

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

If a separate enterprise agreement, developer agreement, data processing addendum, order form, or other written agreement applies to your use of the Services, that agreement controls to the extent of any conflict with these Terms.

2. What Water Does

Water is an AI-powered service designed to help users define goals, maintain context and memory, plan next steps, coordinate people and connected applications, and, when authorized, take or prepare actions across third-party services. Features may include AI conversations, goal and task planning, reminders, memory, recommendations, scheduling, research, collaboration, automated workflows, connected-app actions, and developer or business integrations.

Some features may be experimental, in beta, or offered only to selected users. Features, models, integrations, limits, and availability may change over time.

3. AI-Generated Content and AI Limitations

The Services use artificial intelligence. AI systems are probabilistic and can produce incorrect, incomplete, outdated, misleading, or unexpected results. Water may misunderstand your intent, miss relevant context, recommend an unsuitable action, or fail to complete an action.

  • You are responsible for reviewing outputs and deciding whether they are appropriate for your situation.
  • You should independently verify information before relying on it for important decisions.
  • Water is not a substitute for professional legal, medical, financial, accounting, tax, mental-health, employment, or other regulated professional advice.
  • Do not rely on Water as the sole basis for decisions that could create legal or similarly significant effects for another person, including decisions about employment, credit, insurance, housing, education admissions, healthcare eligibility, or access to essential services.
  • Where the Services present an approval, review, confirmation, permission, or safety control, you are responsible for using that control appropriately.

We do not guarantee that any recommendation, plan, reminder, prediction, output, or action will achieve a particular outcome.

4. Automated and Connected-App Actions

Water may connect to third-party applications and services that you authorize, such as calendars, email, messaging, files, project-management tools, customer-management systems, developer tools, or other integrations ("Connected Services"). Depending on the permissions you grant, Water may read information from, prepare content for, create records in, modify data in, send information through, or otherwise interact with Connected Services.

  • You control which Connected Services you connect and, where available, the permissions and approval settings you grant.
  • You authorize Water to perform actions that you expressly request or that are permitted by the settings, permissions, workflows, and approvals you configure.
  • Some actions may be difficult or impossible to reverse after a Connected Service accepts them.
  • Third-party systems can fail, reject requests, change APIs, return incomplete information, or behave differently from Water's expectations.
  • You remain responsible for activity performed through your accounts and for confirming consequential actions where reasonable.

Water may impose additional confirmations, limits, or blocks on actions that we consider sensitive, destructive, risky, or inconsistent with applicable law or platform rules.

5. Connected Services and Third-Party Terms

Connected Services are provided by third parties, not Water. Your use of them is governed by their own terms and privacy practices. You are responsible for maintaining valid accounts and permissions with those providers.

You may disconnect a Connected Service at any time through available settings or directly through the third-party provider. Disconnecting may prevent Water from accessing new data or performing future actions, but it may not remove information that Water lawfully retained before disconnection. Retention and deletion are described in our Privacy Policy.

6. Accounts and Security

You must provide accurate information and keep your account credentials secure. You are responsible for activity occurring through your account unless caused by Water's breach of its obligations. Notify us promptly at [SECURITY CONTACT EMAIL] if you believe your account or connected credentials have been compromised.

You may not share credentials in a way that bypasses account, seat, permission, or usage controls. We may require identity, email, device, or other verification when reasonably necessary to protect users or the Services.

7. Your Content

"User Content" means information, prompts, goals, tasks, conversations, files, messages, instructions, connected-app data, collaborator content, feedback, and other material that you submit, import, authorize us to access, or generate through your use of the Services.

As between you and Water, you retain your rights in User Content. You grant Water a worldwide, non-exclusive, limited license to host, copy, transmit, transform, analyze, display, and otherwise process User Content only as reasonably necessary to provide, secure, maintain, support, and improve the Services, comply with law, and exercise rights described in these Terms and the Privacy Policy.

You represent that you have the rights and permissions necessary to provide User Content and authorize its processing. Do not submit another person's confidential, sensitive, or personal information unless you have a lawful basis and any required permission to do so.

8. Model Improvement and De-Identified Data

Unless we provide a separate notice or obtain any consent required by law, Water will not use identifiable private User Content to train a generalized AI model for unrelated customers. We may use de-identified, aggregated, or statistical information that cannot reasonably be linked back to you to analyze usage, improve reliability and safety, develop features, and understand Service performance.

If we offer an optional feature that allows identifiable User Content to be used for model improvement, participation will be governed by the disclosure and choices presented with that feature.

9. Memory and Personalization

Water may retain selected information from your interactions to provide continuity, personalization, reminders, recommendations, and context across sessions. Depending on available controls, you may be able to review, correct, delete, disable, or reset stored memory. Because AI systems infer patterns from context, Water may also generate derived information such as preferences, likely priorities, relationships between tasks, or suggested next steps.

Do not treat Water's memory as a complete or authoritative record. You are responsible for verifying information that matters to you.

10. Collaboration and Shared Goals

The Services may let you invite other people to collaborate on goals, tasks, plans, or actions. Information shared into a collaborative area may be visible to participants according to the permissions and product controls you configure.

Private account context or memory should not be treated as shared merely because users collaborate on a goal. However, information you intentionally place into a shared goal, action, message, file, or collaboration area may be accessible to collaborators. You are responsible for selecting appropriate permissions and for not sharing information you are not authorized to disclose.

11. Acceptable Use

You may not use the Services to violate law, infringe rights, harm others, interfere with systems, or evade safeguards. Without limiting that rule, you may not use the Services to:

  • engage in fraud, deception, phishing, impersonation, harassment, stalking, exploitation, or unlawful discrimination;
  • send spam or unlawful marketing communications;
  • access accounts, systems, data, or credentials without authorization;
  • introduce malware, attempt to bypass security controls, probe vulnerabilities without permission, or disrupt the Services;
  • infringe intellectual-property, privacy, confidentiality, publicity, or other rights;
  • use the Services as the sole decision-maker for high-impact decisions about another person where law requires human review, notice, consent, explanation, opt-out rights, assessment, or other safeguards;
  • use the Services for activities prohibited by sanctions, export-control laws, Connected Service rules, or applicable AI laws;
  • attempt to reverse engineer, extract, copy, or misuse non-public models, system prompts, security controls, or proprietary components except to the extent such restriction is prohibited by law; or
  • use automated access methods in a manner that exceeds documented APIs, rate limits, or technical controls.

We may investigate suspected misuse and may restrict or suspend access when reasonably necessary to protect users, third parties, Water, or the Services.

12. Intellectual Property

Water and its licensors own the Services, including software, interfaces, branding, documentation, designs, models, workflows, and other proprietary materials, excluding User Content.

Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose.

As between you and Water, and to the extent permitted by applicable law, you may use AI-generated outputs created for you. AI outputs may not be unique, and other users may receive similar or identical outputs. Water does not guarantee that AI-generated material is protectable by copyright or free of third-party rights.

13. Feedback

If you provide ideas, suggestions, bug reports, or other feedback, you grant Water a perpetual, worldwide, royalty-free right to use that feedback without restriction or compensation, provided we do not publicly identify you as the source without permission.

14. Beta and Experimental Features

Beta, preview, experimental, or early-access features may be incomplete, changed, suspended, or discontinued at any time. Beta participation is not a guarantee of future access, functionality, pricing, release timing, or continued availability.

Submitting a beta application does not guarantee acceptance. We may limit cohorts, test different features, request feedback, and change the Service during development.

15. Fees, Subscriptions, Usage, and Taxes

Some Services may be free, paid, usage-based, subscription-based, or subject to overage charges. Pricing, usage allowances, billing intervals, and any overage rules will be disclosed before you purchase a paid plan or incur a charge.

If you purchase through a third-party payment processor, that processor may handle payment information under its own terms. You authorize us and our payment providers to charge applicable amounts, taxes, and disclosed recurring fees.

Unless otherwise stated at purchase or required by law, fees are non-refundable except where the Services materially fail to conform to applicable contractual or statutory requirements.

16. Cancellation and Termination

You may stop using the Services at any time and may close your account through available settings or by contacting us. Paid subscriptions may continue through the end of the then-current billing period unless otherwise stated or required by law.

We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay amounts due, abuse the Services, or where continued provision becomes unlawful or technically impracticable. Where reasonable, we will provide notice and an opportunity to resolve the issue.

After account closure, we handle retained data according to the Privacy Policy and applicable law.

17. Privacy and Data Protection

Our Privacy Policy explains how we collect, use, disclose, transfer, retain, and protect personal information. Where Water processes personal data on behalf of an organization under a separate data processing agreement, that agreement may govern instead.

18. Service Availability and Changes

We may modify, update, limit, or discontinue parts of the Services. We do not guarantee uninterrupted availability, error-free operation, compatibility with every device or third-party service, or preservation of every feature.

Where a change materially reduces a paid Service during a prepaid term, we will provide any remedy required by applicable law or the applicable order form.

19. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WATER DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT AI OUTPUTS, RECOMMENDATIONS, ACTIONS, CONNECTED SERVICES, OR THIRD-PARTY CONTENT WILL BE ACCURATE, COMPLETE, SAFE, AVAILABLE, OR SUITABLE FOR YOUR PURPOSE.

Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WATER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WATER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID WATER FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100.

These limitations do not apply where liability cannot lawfully be limited, including certain liability for fraud, willful misconduct, death or personal injury caused by negligence, or mandatory consumer rights.

21. Indemnification

If you use the Services on behalf of a business or organization, you will defend and indemnify Water from third-party claims, damages, and reasonable costs arising from that organization's unlawful use of the Services, violation of these Terms, or infringement of another person's rights, except to the extent caused by Water's own breach or misconduct. This section does not apply to consumers where prohibited by law.

22. International Users and Mandatory Consumer Rights

The Services may be accessed from multiple countries. Local laws may give you rights that cannot be waived by contract. These Terms do not limit mandatory consumer, privacy, data-protection, product-conformity, or statutory rights that apply to you.

If you are a consumer in the European Economic Area, United Kingdom, Switzerland, Australia, Canada, Brazil, Japan, or another jurisdiction with mandatory consumer protections, any choice-of-law, warranty, liability, or dispute provision applies only to the extent permitted by the laws of your place of residence.

23. U.S. Dispute Resolution and Arbitration - OPTIONAL DRAFT CLAUSE

Remove or have U.S. counsel approve this section before publication. Arbitration clauses have jurisdiction-specific disclosure, consent, and enforceability requirements.

Before filing a formal claim, you and Water agree to try to resolve the dispute informally for 30 days after written notice. If the dispute is not resolved, and if permitted by applicable law, any claim arising from these Terms or the Services will be resolved by individual binding arbitration administered by [ARBITRATION PROVIDER] under its applicable consumer rules, rather than in court, except that either party may bring an eligible claim in small-claims court or seek injunctive relief for misuse of intellectual property or unauthorized system access.

You may opt out of this arbitration provision by sending written notice to [ARBITRATION OPT-OUT EMAIL/ADDRESS] within 30 days after first accepting these Terms. If you do not opt out, claims must be brought individually and not as a plaintiff or class member in a class, collective, consolidated, or representative proceeding, to the extent permitted by law.

This arbitration section does not apply where local law prohibits mandatory arbitration or class-action waivers.

24. Governing Law

Except where mandatory law provides otherwise, these Terms are governed by the laws of [GOVERNING STATE/COUNTRY], without regard to conflict-of-law principles. If the optional arbitration provision is not used or does not apply, disputes will be brought in the courts located in [COUNTY, STATE/COUNTRY], subject to any mandatory right you have to bring a claim elsewhere.

25. Changes to These Terms

We may update these Terms to reflect changes to the Services, law, security practices, or business operations. If a change materially affects your rights or obligations, we will provide reasonable notice through the Services, by email, or by another appropriate method before the change takes effect where required by law.

Your continued use after an updated version becomes effective constitutes acceptance to the extent permitted by law. If you do not agree to a material change, you may stop using the Services and close your account.

26. General Terms

If any provision is found unenforceable, the remaining provisions remain in effect and the invalid provision will be enforced to the maximum extent permitted by law. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, except where applicable law gives you that right. We may assign these Terms as part of a merger, acquisition, financing, reorganization, or sale of assets, subject to applicable law.
